Terms of Service

These Terms of Service ("Terms") govern your access to and use of Meadowlark, a construction project management software-as-a-service platform operated by Tenon ("Meadowlark", "we", "us"). By using the platform, you agree to these Terms.

1. Service Description

Meadowlark provides cloud-based software for construction project management, including project tracking, document management, financial reporting, scheduling, team collaboration, client portals, and equipment management. Features vary by subscription plan.

2. Accounts and Responsibilities

You must create an account to use Meadowlark. You are responsible for:

Accounts may not be shared with individuals outside your organization. You may not create accounts for the purpose of abusing the platform or circumventing limits.

3. Data Ownership

You own your data. All project data, documents, photos, financial records, and other content you upload or create on Meadowlark remain your property. We do not claim any ownership rights over your content.

You grant Meadowlark a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the service to you.

Upon termination of your account, you may request an export of your data within 30 days. After this period, data may be deleted in accordance with our data retention policy.

You agree to use Meadowlark only for lawful purposes and in compliance with all applicable Canadian and Quebec laws. You must not:

5. Payment Terms

Paid subscriptions are billed monthly or annually in advance. Prices are listed in Canadian dollars (CAD) and are subject to applicable taxes.

New accounts receive a 14-day free trial. No credit card is required during the trial period. After the trial, a paid plan is required to continue using the service.

All payments are processed by Stripe. We do not store credit card information. Subscriptions automatically renew unless cancelled before the renewal date.

Refunds are issued at our discretion for unused portions of annual subscriptions. Monthly subscriptions are non-refundable.

6. Termination

You may cancel your account at any time through the billing portal. Cancellation takes effect at the end of the current billing period.

We reserve the right to suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in conduct that we determine to be harmful to other users or the platform.

Upon termination, your access to the platform will cease. Data export requests must be made within 30 days of termination.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Meadowlark shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

8. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the applicable federal laws of Canada, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Quebec.
